Welcome to TopLinePPC. By using our services, you agree to the following Terms & Conditions. Please read them carefully before engaging with our services. If you do not agree, you should not use our services.
1. Definitions
- “TopLinePPC,” “We,” “Our,” or “Us” refers to the PPC agency providing services as outlined in this agreement.
- “Client,” “You,” or “Your” refers to the individual or business purchasing services from TopLinePPC.
- “Services” refers to Pay-Per-Click (PPC) management, consulting, and other related activities offered by TopLinePPC.
2. Scope of Services
- TopLinePPC provides PPC management, optimization, and reporting services to improve your advertising performance.
- The specific deliverables, goals, and timelines will be outlined in a signed proposal or agreement with you.
- While we strive to deliver excellent results, we do not guarantee specific outcomes such as a set ROI, number of leads, or conversions.
3. Client Responsibilities
You agree to:
- Provide accurate and complete business information required to run campaigns.
- Maintain an active advertising account with platforms like Google Ads, Bing Ads, or Facebook Ads.
- Approve budgets and expenses for campaigns in a timely manner.
- Pay all agreed-upon fees, as outlined in our agreement.
Failure to provide necessary information or approvals may result in delays or reduced campaign performance, for which we are not liable.
4. Fees and Payments
- All fees for our services will be outlined in a signed agreement or proposal.
- Payment is due as per the terms agreed upon (e.g., monthly, quarterly). Late payments may result in service suspension or additional fees.
- Campaign budgets are paid directly to the advertising platform and are separate from TopLinePPC’s management fees.
5. Intellectual Property
- All content, materials, and strategies created by TopLinePPC for your campaigns remain our property unless explicitly transferred to you.
- You retain ownership of your advertising accounts, including access to historical data and billing records.
6. Confidentiality
- Both parties agree to keep proprietary and sensitive information confidential, including business data, strategies, and account access details.
- This confidentiality obligation extends beyond the termination of the agreement.
7. Service Limitations
- TopLinePPC is not liable for downtime or errors caused by third-party platforms (e.g., Google Ads, Facebook Ads).
- Results depend on various factors outside our control, including market conditions, competition, and platform changes.
- We do not guarantee specific performance metrics, such as CTR, ROI, or conversion rates.
8. Termination
- Either party may terminate the agreement with a 30-day written notice unless otherwise stated in the signed agreement.
- If the agreement is terminated, all outstanding fees must be paid, and services will cease at the end of the notice period.
- Campaign data and accounts will remain your property, and we will provide reasonable assistance for a smooth transition.
9. Limitation of Liability
- TopLinePPC is not liable for indirect, incidental, or consequential damages, including loss of revenue, profits, or data.
- Our total liability under this agreement shall not exceed the total fees paid by you to TopLinePPC in the last three months.
10. Indemnification
You agree to indemnify and hold TopLinePPC harmless from claims, damages, or expenses arising from:
- Misuse of our services.
- Violations of advertising platform policies by you or your business.
- Breach of this agreement.
11. Amendments
We reserve the right to update these Terms & Conditions. Significant changes will be communicated to you, and continued use of our services constitutes acceptance of the updated terms.
12. Governing Law
These Terms & Conditions are governed by the laws of New Jersey, without regard to its conflict of law principles.
13. Dispute Resolution
In the event of a dispute, both parties agree to resolve it through mediation or arbitration before pursuing legal action.
